These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and DAMAGE iD, LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of the https://www.damageid.com/ website, the DAMAGE iD web portal, and the DAMAGE iD mobile application, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Services”).
By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.
1. Description of Services
DAMAGE iD provides a digital vehicle inspection and damage tracking platform. The Services include a mobile application for capturing photos, videos, and data regarding vehicle condition, and a web-based portal for reviewing, managing, and storing this data.
2. User Registration and Accounts
To use certain features of the Services, you may be required to register for an account. You agree to:
- Provide true, accurate, current, and complete information about yourself and your organization.
- Maintain the security of your password and identification.
- Promptly update your account information to keep it true, accurate, current, and complete.
- Accept all responsibility for all activities that occur under your account.
You must be at least 18 years of age to create an account and use the Services.
3. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to be bound by our Privacy Policy, which outlines how we collect, use, and share your data, including device data, geolocation, and camera access required for the mobile application to function.
4. Mobile Application License and Use
If you access the Services via our mobile application, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the application on wireless electronic devices owned or controlled by you. You agree not to:
- Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application.
- Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application.
- Violate any applicable laws, rules, or regulations in connection with your access or use of the application.
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us.
5. User-Generated Content
The Services allow you to capture, upload, and store photos, videos, text, and other data related to vehicle inspections (“User Content”).
- You retain all ownership rights to your User Content.
- By uploading User Content, you grant DAMAGE iD a worldwide, non-exclusive, royalty-free license to host, store, use, and process your User Content solely for the purpose of providing and improving the Services.
- You are solely responsible for ensuring you have the legal right to capture and upload the User Content, and that it does not violate the privacy or rights of any third party.
6. Acceptable Use and Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. You agree not to:
- Interfere with, disrupt, or create an undue burden on the Services or the networks connected to the Services.
- Attempt to bypass any measures of the Services designed to prevent or restrict access.
- Upload or transmit viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Services.
7. Intellectual Property Rights
Unless otherwise indicated, the Services are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the “Content”) and the trademarks, service marks, and logos contained therein are owned or controlled by us and are protected by copyright and trademark laws.
8. Term and Termination
These Terms shall remain in full force and effect while you use the Services. We may suspend or terminate your account and block access to the Services at any time, for any reason, including without limitation, breach of these Terms. Upon termination, your right to use the Services will immediately cease.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free.
10. Limitation of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Governing Law
These Terms shall be governed by and defined following the laws of the Commonwealth of Massachusetts. DAMAGE iD, LLC and yourself irrevocably consent that the courts of Massachusetts shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
